These Terms of Service ("Terms") govern your access to and use of the services provided by BLKBOX Intelligence LLC ("BLKBOX," "we," "us," or "our"), including our website and AI phone receptionist platform. By accessing our site or using our services, you agree to be bound by these Terms.

1. Services

BLKBOX provides AI-powered phone answering and receptionist services to businesses in regulated and non-regulated industries. Services include 24/7 call answering, voicemail transcription, appointment scheduling, and CRM integration as described in your service agreement.

2. Eligibility

You must be at least 18 years old and authorized to enter into binding contracts on behalf of your business to use our services. By using BLKBOX, you represent that you meet these requirements.

3. Accounts and Onboarding

You are responsible for providing accurate information during onboarding. You agree to keep your account credentials confidential and notify us immediately of any unauthorized access. BLKBOX is not liable for losses resulting from unauthorized use of your account.

If a free trial is offered, it begins on the date you activate service. At the end of the trial period, your subscription will automatically convert to a paid plan unless you cancel before the trial ends. No credit card is required to start a trial.

7. HIPAA and Regulated Industries

Clients in healthcare, mental health, or other regulated industries must execute a Business Associate Agreement (BAA) with BLKBOX prior to transmitting any Protected Health Information (PHI). Use of our service to process PHI without a signed BAA is a material breach of these Terms.

8. Intellectual Property

All technology, software, branding, and content provided by BLKBOX is our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use the service during your subscription. You retain ownership of your business data and call records.

9. Confidentiality

Both parties agree to keep the other's confidential business information private. BLKBOX will not disclose your client call data to third parties except as required to deliver the service or as required by law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLKBOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. BLKBOX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

12. Termination

Either party may terminate service with 30 days' written notice. BLKBOX may terminate immediately for material breach, including non-payment or misuse of the platform. Upon termination, your data will be available for export for 30 days, after which it will be securely deleted.

13. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Baltimore City, Maryland.

14. Changes to Terms

We may update these Terms periodically. Continued use of the service after changes constitutes your acceptance. Material changes will be communicated via email to your account address with 14 days' notice.
